These Terms and Conditions (“Terms”) govern your access to and use of the Tokenized.Video website, creator tools, premiere listings, token-gated access tools, memberships, wallet-connected features, age-gating tools, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. What Tokenized.Video Is
Tokenized.Video is a software and access-control platform for helping creators crowdfund films and live events, distribute premiere access, and let supporters unlock early viewing through wallet-linked digital access passes.
The Services may include:
- creator upload and listing tools,
- premiere pages,
- wallet-gated premiere access,
- creator memberships,
- viewer access and unlock tools,
- optional age-verification workflows,
- related dashboard, support, and administrative tools.
Tokenized.Video is a software and distribution-access tool. It is not a bank, payment custodian, securities platform, streaming host for all content, legal adviser, or guarantor of creator or viewer performance.
2. Eligibility
You must be at least 18 years old, or the age of legal majority where you live, to use the Services.
If you use the Services on behalf of a production company, studio, event operator, or other organization, you represent that you have authority to bind that entity to these Terms.
You are solely responsible for complying with the laws and regulations that apply to your use of the Services.
3. Platform Purpose
Tokenized.Video is intended to help:
- creators raise support during production,
- issue premiere-access passes,
- control early viewing access through wallet-linked gating,
- allow supporters to unlock premiere viewing when a project is released.
Tokenized.Video does not promise theatrical distribution, festival selection, audience growth, financial return, or long-term hosting on every third-party provider.
4. Not an Investment Platform
Tokenized.Video is not an investment platform, speculative marketplace, or securities offering service.
A premiere-access pass is intended as a utility-based access mechanism for viewing or related access rights made available by the creator. Unless expressly stated otherwise in writing, a pass does not represent equity, debt, profit participation, revenue sharing, ownership in a production, or an expectation of financial return.
5. Creator Responsibilities
Creators are solely responsible for:
- the content they upload or link,
- the legality of their projects,
- the accuracy of their descriptions,
- whether they have the right to distribute the content,
- pricing premiere access,
- setting and fulfilling release expectations,
- ensuring any hosted content is lawful and authorized.
Tokenized.Video does not guarantee that a creator will complete production, release a project on time, or fulfill all supporter expectations.
6. Viewer and Supporter Responsibilities
Viewers and supporters are solely responsible for:
- reviewing a project before purchasing access,
- confirming the correct wallet, chain, token, and recipient,
- understanding the creator’s offering and release expectations,
- ensuring their own use complies with law.
A purchase of premiere access does not guarantee artistic quality, runtime, commercial release, future updates, or compatibility with every device or hosting provider.
7. Wallets and Access Passes
Some features require a supported wallet.
You are solely responsible for:
- choosing and controlling your wallet,
- safeguarding private keys, seed phrases, passwords, and devices,
- confirming the correct chain, token, and wallet address,
- reconnecting the wallet that holds the relevant access pass,
- understanding that wallet-based transactions may be public, permanent, and irreversible.
We are not responsible for losses caused by compromised wallets, phishing, wrong-address activity, unsupported networks, user error, chain congestion, or third-party wallet failures.
8. Creator-Controlled Distribution
Tokenized.Video may control access to a premiere or gated release, but creators may host or manage content using their own selected hosting arrangements.
You understand that:
- creators may control aspects of their content distribution,
- access availability may depend on third-party video hosts or infrastructure,
- Tokenized.Video does not guarantee uninterrupted playback, hosting uptime, or indefinite availability of any project.
9. Optional Age Verification
Some content or services may be age-gated.
Where offered, Tokenized.Video may provide or integrate optional age-verification workflows, including wallet binding, ID image upload, selfie capture, or third-party verification alternatives. These tools are provided to support access-control workflows and records.
Unless expressly stated otherwise in writing, age-verification results do not guarantee legal identity, citizenship, residency, or universal third-party acceptance.
10. Memberships and Paid Features
Some Services require a paid membership or paid feature access, including creator-side access to upload or manage projects.
A paid membership gives access only to the features included in that plan. It does not guarantee:
- a minimum amount of funding,
- a minimum number of supporters,
- uninterrupted service,
- support for every wallet or chain,
- continued availability of every third-party provider.
Refunds, renewals, and payment rules are governed by the Refund and Billing Policy, if posted.
11. Direct Viewer Purchases
Some premiere-access purchases may be made through direct wallet-to-wallet or peer-to-peer payment flows.
Unless expressly stated otherwise in writing, Tokenized.Video is generally not the seller in a direct viewer-to-creator payment transaction and is not a party to the underlying peer-to-peer payment itself.
12. User Content
You may submit videos, descriptions, titles, thumbnails, premiere information, support messages, verification materials, and related materials (“User Content”).
You retain ownership of your User Content, but you grant Tokenized.Video a limited, non-exclusive, worldwide license to host, store, process, reproduce, display, and use that content as reasonably necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, and comply with law.
You represent that you have all rights and permissions necessary to submit User Content.
13. Acceptable Use
You agree not to:
- upload or distribute unlawful, infringing, or unauthorized content,
- misuse age-gating or access-control flows,
- impersonate another person or business,
- post deceptive, fraudulent, or harmful project listings,
- attempt to hack, scrape, reverse engineer, or disrupt the Services except as allowed by law,
- upload malware or malicious code,
- use the Services to facilitate unlawful activity.
We may investigate suspected misuse and may suspend, restrict, remove, or terminate access where appropriate.
14. Intellectual Property
The Services, including software, branding, site design, workflows, text, graphics, and related materials, are owned by Tokenized.Video or its licensors and are protected by law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.
15. Third-Party Services
The Services may rely on or link to third-party services such as wallets, payment processors, onramp providers, blockchain infrastructure, age-verification providers, hosting providers, and analytics vendors.
We do not control and are not responsible for third-party uptime, pricing, privacy practices, security, or performance. Your use of third-party services is governed by their own terms and policies.
16. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.”
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, quiet enjoyment, and results.
We do not warrant that:
- every creator will release content on time,
- every purchase or unlock flow will succeed,
- every wallet interaction will succeed,
- every age-verification attempt will succeed,
- every premiere will remain available without interruption,
- the Services will always be uninterrupted, secure, or error-free.
17. Limitation of Liability
To the fullest extent permitted by law, Tokenized.Video and its affiliates, owners, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, buyer-seller disputes, creator-release disputes, playback issues, wallet losses, or third-party claims arising from or related to the Services.
Our total liability for any claim relating to the Services will not exceed the greater of:
- the amount you paid us in the 12 months before the event giving rise to the claim, or
- USD $100.
18. Indemnification
You agree to defend, indemnify, and hold harmless Tokenized.Video and its affiliates, owners, officers, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:
- your use of the Services,
- your User Content,
- your listings, purchases, or access-pass use,
- your violation of these Terms,
- your violation of law or third-party rights.
19. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate access at any time if we believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a harmful or unlawful manner.
Sections that by their nature should survive termination will survive.
20. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless applicable law requires otherwise.
21. Dispute Resolution
Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.
If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires a different forum.
22. Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after revised Terms are posted constitutes acceptance of the updated Terms.
